This is a strong draft, not a substitute for a lawyer. It's written to protect the seller (NexForge Labs India) as much as reasonably possible under Indian law, but a qualified advocate should still review it — especially Sections 8 (Liability) and 9 (Refunds) — before you rely on it in a real dispute.
By downloading, installing, or using Clarvo ("the Software"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree, do not install or use the Software.
Subject to your compliance with this Agreement and payment of any applicable license fee, NexForge Labs India grants you a limited, non-exclusive, non-transferable license to install and use one copy of the Software on the number of devices permitted by your license key.
The Software may be used for a free trial period of 7 days from first launch. The trial period is tied to your device and cannot be reset by reinstalling the Software. After the trial period ends, a valid license key is required to continue using the Software.
You may not:
Clarvo performs system maintenance actions on your device, including but not limited to: deleting temporary/cache files (via the Recycle Bin), modifying Windows startup entries, uninstalling applications you select, and other actions you explicitly initiate. You are responsible for reviewing what the Software will do before confirming any action. The Software is designed to send deleted files to the Recycle Bin rather than permanently deleting them where feasible, and offers to create a System Restore point before certain cleaning operations — but no software can guarantee against all possible data loss or system issues.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXFORGE LABS INDIA DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT ITS USE WILL NOT RESULT IN DATA LOSS OR SYSTEM ISSUES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) THE SOFTWARE IS USED ENTIRELY AT YOUR OWN RISK. NEXFORGE LABS INDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, HOWSOEVER ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF NEXFORGE LABS INDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF NEXFORGE LABS INDIA ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE LICENSE KEY GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU USED THE SOFTWARE UNDER THE FREE TRIAL WITHOUT PURCHASING A LICENSE, NEXFORGE LABS INDIA'S TOTAL LIABILITY TO YOU SHALL BE ZERO.
(c) You expressly acknowledge that the Software performs system-modification actions (see Section 6) at your explicit direction, and that you bear sole responsibility for reviewing and confirming any action before it is performed. NexForge Labs India is not responsible for consequences of actions you selected and confirmed.
(d) Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2019 (India), to the extent it applies to your purchase.
This license terminates automatically, without notice, if you breach this Agreement, including but not limited to violating Section 5 (Restrictions) or Section 3 (License Key and Activation). Upon termination, you must immediately stop using the Software, and NexForge Labs India may revoke your license key without refund. Sections 7, 8, 12, and 13 survive termination of this Agreement.
NexForge Labs India may release updates to the Software at its discretion, with no obligation to do so. Continued use of the Software after an update constitutes acceptance of any revised terms accompanying that update, where applicable. NexForge Labs India is not obligated to provide ongoing support, maintenance, or updates beyond what is stated at the time of purchase.
This Agreement, and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India. The courts located in Tamil Nadu, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement, and you irrevocably submit to the exclusive jurisdiction of those courts.
If any provision of this Agreement is held to be invalid or unenforceable under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and NexForge Labs India regarding the Software and supersedes any prior agreements or understandings, whether written or oral.
